User Agreement

Welcome to SaleWisely products and services. This Service Agreement applies to all products and services provided to you by SaleWisely service providers ("we", "us", or "our") through websites, software clients, and any new forms enabled by future technology. Please read and fully understand all terms of this Agreement carefully, especially the clauses on limitation or exclusion of liability, and decide whether to accept them. Clauses on limitations and disclaimers may be highlighted in bold. Unless you have read and accepted all terms of this Agreement, please do not download, install, or use this software and related services. By clicking "agree," downloading, installing, using, or logging in, you are deemed to have read and agreed to be bound by this Agreement.
You legally agree that these rules are binding terms ("Terms"). You also agree that our Privacy Policy, Cookie Policy, Payment Verification Policy, Auto-Renewal Agreement, User Code of Conduct, and other policies published by SaleWisely from time to time form an integral part of this Agreement. We may modify these Terms from time to time. If we do, we will notify you of any material changes by posting on our official website or by email. If you continue to use SaleWisely software and services after such changes take effect, you accept the revised Terms. We reserve any and all rights not expressly granted in this Agreement, including without limitation all rights in and to SaleWisely products and services.
Violation of any of the following Terms may result in termination of your account. You agree that you use SaleWisely software at your own risk.
If you have entered into any agreement relating to this service with us before or after signing and accepting this Agreement (the "Offline Agreement"), and such Offline Agreement remains valid, then in case of conflict, the Offline Agreement shall prevail; matters not covered by the Offline Agreement shall be governed by this Agreement.
1. Account Terms
1.1. You must be at least 18 years old to register a SaleWisely account, or of legal age in your jurisdiction to form a binding contract. If you are under 18, you may not use SaleWisely software without consent from your parent or legal guardian.
1.2. Registration is required to use SaleWisely. You must choose an account name and set a password. Your information will be collected and disclosed in accordance with applicable data protection laws and our Privacy Policy. All users must provide true and accurate information when registering for our website or services. Do not use invalid email addresses or emails belonging to others, as this may reduce your account security.
1.3. We reserve the right to verify all user information and reject any user. You are responsible for all activities under your account and for maintaining password confidentiality. Except with authorized admin permission, you may not use or control another person's account, and you shall bear any resulting liability for violations. You agree to notify us immediately of any unauthorized use of your account or any other security breach. SaleWisely is not liable for any loss caused by someone else using your password or account, whether or not you were aware. If you discover unauthorized use of your account, report it to support@SaleWisely.com.
1.4. You may not use SaleWisely software or services for any illegal or unauthorized purpose. When using the software, you must not violate any laws applicable in your jurisdiction.
1.5. To protect your account security and better provide services, you agree that SaleWisely may, before providing certain products or services, verify your identity through facial recognition to confirm that the operator is the account holder and to assess whether to provide products or services. This function is supported by credible institutions that provide verification data and technical support. You agree and authorize SaleWisely to obtain and use personal information (including your name and ID number) and facial image data provided in your service application, and provide such data to third-party partners lawfully holding your information for comparison and identity verification. If you do not agree with any part of this Agreement, or cannot accurately understand the Agreement, please do not proceed. By clicking "Confirm," "Agree," or "Accept," you consent to facial recognition verification by SaleWisely. You expressly acknowledge that facial recognition has technical limitations and uncertainties, and results are for reference only. Any other decisions or actions you take based on facial recognition results are independent of SaleWisely, and SaleWisely assumes no liability.
1.6. You acknowledge and agree that during service provision, SaleWisely may, by itself or through third-party advertisers, send you advertising, promotional, or publicity information (commercial or non-commercial) via SMS, email, or other electronic means. If you do not wish to continue receiving such messages, you may unsubscribe by contacting official customer service or emailing support@SaleWisely.com. You further acknowledge that you should independently and prudently evaluate the authenticity and reliability of advertising information displayed in the service. Except as explicitly required by law, you shall bear responsibility for transactions or dealings based on such advertising information.
2. Prohibited Conduct
2.1. You shall comply with all applicable laws and regulations. You may not use SaleWisely services or accounts to engage in, or facilitate, including but not limited to, the following conduct:
(1) Endangering national security, disclosing state secrets, subverting state power, undermining national unity, or damaging national honor and interests;
(2) Promoting cults or feudal superstition;
(3) Spreading rumors, disrupting social order, or undermining social stability;
(4) Disseminating obscene, pornographic, gambling-related, violent, homicidal, terrorist, harassing, vulgar content, or content that incites crime;
(5) Insulting or defaming others, or infringing lawful rights and interests of others;
(6) Infringing others' lawful rights such as intellectual property rights and trade secrets;
(7) Fabricating facts or concealing truth to mislead or deceive others;
(8) Conducting illegal online activities such as betting or gambling games;
(9) Deleting or altering rights-management electronic information on this software;
(10) Intentionally circumventing or destroying technical measures adopted by copyright owners to protect this software;
(11) In violation of law, deleting, modifying, adding, or interfering with computer information system functions, causing systems to fail to operate normally;
(12) Accessing computer information networks or using network resources without authorization;
(13) Deleting, modifying, or adding computer information network functions without authorization;
(14) Deleting, modifying, or adding data and applications stored, processed, or transmitted in computer information networks without authorization;
(15) Disrupting the normal operation of the software system or website, or intentionally spreading destructive programs such as computer viruses;
(16) Reselling SaleWisely products, or sub-user accounts under management users authorized by Party B, in any form;
(17) Any other acts endangering computer information network security;
(18) Any other conduct that violates public order and good morals, laws and regulations, or infringes lawful rights and interests of others.
2.2. You undertake not to use any software or device (manual or automated) to "scrape" or "crawl" any part of SaleWisely, and not to decompile or reverse engineer any SaleWisely content, or harm any rights and interests of SaleWisely or its users through malicious attacks, harmful components, or similar means.
2.3. Account Usage Rules
Users may only operate accounts on the SaleWisely platform that are lawfully registered and fully authorized for use by themselves or their enterprises. Users are strictly prohibited from adding, accessing, or operating any third-party accounts, or engaging in any conduct that violates third-party platform rules and policies.
If user operations (including but not limited to adding others' accounts, improper account use, or violating third-party platform rules) cause third-party platforms to penalize, restrict access to, freeze, or deregister relevant accounts, and/or cause any economic loss or reputational damage to SaleWisely, all responsibilities, consequences, and losses shall be borne solely by the user. SaleWisely assumes no liability and reserves the right to pursue corresponding legal liability against the user.
2.4. You understand and agree that if you engage in any prohibited conduct under this Agreement, use SaleWisely software and services for any illegal or unauthorized purpose, or otherwise violate this Agreement, SaleWisely may, at its reasonable discretion, impose penalties for violations of applicable laws, regulations, or this Agreement, including one or more of the following measures:
(1) Warning;
(2) Temporary or permanent restriction on your use of part or all functions/services;
(3) Suspension or termination of your account and service access;
(4) Deletion of violating content or data;
(5) Reporting your violations to relevant regulators, law enforcement agencies, or third-party platforms;
(6) Pursuing your contractual liability for breach;
(7) Requiring you to compensate all of our losses, including but not limited to direct economic losses, compensation/indemnity/settlement paid to third parties, administrative fines, criminal penalties, and reasonable costs for rights protection or defense, such as arbitration fees, litigation fees, attorneys' fees, travel expenses, investigation/evidence collection fees, preservation fees, and preservation guarantee insurance premiums.
Meanwhile, you shall bear all legal liabilities arising therefrom independently.
2.5. You understand and agree that if your violation of this Agreement or related service terms leads to any third-party claims, demands, or losses, you shall bear liability independently. If SaleWisely suffers losses thereby, you shall also fully compensate SaleWisely. If SaleWisely assumes relevant liability first due to an effective judgment or award, SaleWisely has the right to full recourse against you.
3. Fee Terms
3.1 Pricing and Payment
Please visit our payment policy page to view pricing and latest offers for all services. Some SaleWisely features are free, while some are paid-only. If you agree to our payment policy and subscribe to relevant features, you undertake to pay applicable fees.
Prices for all services (including without limitation monthly subscription plan fees) may change. Price changes will be published at https://www.SaleWisely.com/pricing/ or within the software itself. We reserve the right to modify or discontinue this service (or any part of it) at any time or from time to time without notice. SaleWisely is not liable to you or any third party for any modification, price change, suspension, or termination of the service.
3.2 Trial Subscriptions
We may offer each newly registered user a free trial subscription of SaleWisely on the website so users can experience selected premium features free of charge for a specified period, which will be stated when you select the corresponding offer.
By selecting a SaleWisely free trial subscription, you agree that after the trial ends, it will automatically renew into a paid subscription of the corresponding plan, and the system will automatically charge the corresponding fee from your payment account.
You agree that we reserve the right, without notice, to change or terminate any free trial offer, limit access during the trial period, or limit users from running multiple free trial subscriptions simultaneously, and we assume no liability for doing so.
3.3 Paid Subscriptions and Auto-Renewal
Users may choose paid subscriptions for SaleWisely premium features and agree to auto-renewal services. You authorize us to automatically charge your payment account for applicable renewal fees before the original subscription term ends, unless you cancel before renewal. If you wish to stop renewing, you should cancel the service before the current subscription cycle ends in accordance with the Auto-Renewal Agreement.
You agree that we may adjust subscription pricing at any time for reasons such as changes in business strategy, and notify users of new fees through the official website page at https://www.SaleWisely.net/pricing/. If you do not agree to the new price, you may cancel auto-renewal before the new price takes effect in accordance with the Auto-Renewal Agreement. Auto-renewal pricing will generally not exceed the prior subscription cycle price (excluding any promotional discount), unless otherwise notified.
4. Refund Policy
4.1. SaleWisely offers prepaid subscription packages, and we do not provide refunds for any paid services. Please note that all payments are final. No refunds or credits will be given for partial-month services, upgrade/downgrade adjustments, or unused periods of an active account. In particular, please note the following:
(1) In accordance with applicable laws and regulations such as consumer protection laws, you acknowledge and accept that SaleWisely provides computer software systems, cloud services, and related digital services. Once you confirm entry into the SaleWisely backend interface and purchase digital services provided by SaleWisely, purchases are non-refundable, and the "7-day no-reason return" rule does not apply.
(2) Before making payment, you should fully understand SaleWisely functions and use scenarios. To support this, the SaleWisely official website and help center provide comprehensive, detailed, and clear usage guidance and onboarding materials to help you understand product functions, use scenarios, and pricing before purchase.
(3) You have the right to choose the content and quantity of SaleWisely services according to your own needs. After you purchase SaleWisely services offline, online, or through other methods mutually confirmed by both parties, you will obtain corresponding permissions to use SaleWisely services, and SaleWisely will provide services according to your needs and purchased scope/quantity.
(4) You have a duty of reasonable review and due care, and should select SaleWisely service content suitable for your needs. Specific services and charging methods are subject to information officially published by SaleWisely. SaleWisely has the right to unilaterally modify fee standards and charging methods based on actual needs.
(5) If you have any questions or dissatisfaction regarding any order, please first contact online customer service or email support@SaleWisely.com.
5. Term and Termination
5.1. This Agreement begins when you accept these Terms of Use and remains effective on an ongoing basis until terminated by either party. SaleWisely may at any time suspend or terminate your account as provided by this Agreement or by law. Such termination may result in deactivation or deletion of your account or your access to it, and forfeiture and abandonment of all content in the account. SaleWisely reserves the right to refuse service to anyone at any time.
5.2. We may, at our sole discretion, modify, restrict, suspend, or terminate your access to or use of our services at any time, especially if you violate this Agreement or laws, or cause harm, risk, or potential legal risk to us, our users, or others. Upon termination, your right to use the services ends immediately. If you wish to terminate your account, you may stop using the services directly.
5.3. We may also, at our sole discretion, partially restrict your use of the services. In particular, this includes our right to deny you access to technical support, especially if you abuse our support resources.
6. Intellectual Property
6.1. All content, designs, text, charts, images, logos, buttons, icons, interfaces, audio, and video in SaleWisely software or products, and all arrangements and combinations thereof, are exclusive property of SaleWisely or its respective content providers, and are protected by applicable copyright laws. All software used by the software and website is property of SaleWisely or its software suppliers and is protected by applicable copyright laws and other relevant laws and treaties.
6.2. All trademarks, service marks, and trade names used by SaleWisely software or products (collectively, "Marks") are proprietary to SaleWisely. Such Marks may not be used in connection with any non-SaleWisely products or services, or in any manner likely to cause consumer confusion, or to disparage or discredit SaleWisely.
6.3. You may not send/upload to this website or SaleWisely products any content that infringes others' copyrights or other intellectual property rights, nor may you use SaleWisely products or services to disseminate such infringing content. Otherwise, you shall bear all resulting legal liabilities, and we have the right to take actions in accordance with Section 2.3 of this Agreement.
7. Confidentiality and Feedback
7.1. We value protection of your privacy. The SaleWisely Privacy Policy has been published accordingly. Please review the Privacy Policy to understand how we handle your personal information and privacy. All information we collect is subject to our Privacy Policy, and by using the website or services, you agree to all actions we take regarding your information in accordance with that policy.
7.2. You agree to keep SaleWisely and our confidential information confidential, not to use such information except for performance under this Agreement, and not to disclose any SaleWisely confidential information known to you to any third party.
7.3. To the extent you provide us with any suggestions, information, ideas, or feedback regarding any SaleWisely software or service (collectively, "Feedback"), including but not limited to documentation reporting any errors discovered while using software or related services, such Feedback shall belong to us. You agree to assign to SaleWisely, worldwide, all rights in such Feedback (including without limitation ownership, property rights, and related intellectual property rights), and agree to assist us in perfecting and enforcing such rights.
8. Disclaimer
8.1. We recommend that you back up data frequently. You are always responsible for mitigating losses. SaleWisely is not fault-tolerant software and is not designed or intended for use in hazardous environments requiring fail-safe performance or operation. SaleWisely does not guarantee that the website or products containing the services will be error-free or uninterrupted, nor that such website, services, or servers are free of harmful components. SaleWisely makes no representations or warranties that provided services are accurate, complete, or useful. SaleWisely does not guarantee that your use of the website or services is lawful in any particular jurisdiction, and we expressly disclaim any such warranty. Any user who uses, tests, or evaluates SaleWisely assumes all risks as to quality and performance. We are not liable for damages of any kind, including without limitation direct or indirect damages arising from use, performance, or delivery of SaleWisely, even if advised of the existence or possibility of such damages.
8.2. We do not become involved in disputes between users or between users and any third party regarding use of the services. When you use or purchase third-party services or goods, you undertake not to assert against us any claims or demands relating to such disputes and services (known or unknown, suspected or unexpected, disclosed or undisclosed). You bear any consequences arising from your use of the SaleWisely website or services, and you are fully responsible for any damage or loss caused by your conduct to any party.
8.3. Anyone who uses, tests, or evaluates SaleWisely assumes all risks regarding SaleWisely quality and performance. We are not liable for damages of any kind, including without limitation direct or indirect damages arising from use, performance, or delivery of SaleWisely, even if advised that SaleWisely caused or may cause such damages.
8.4. Some countries/regions do not allow limitations or exclusions of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. In any event, our total cumulative liability shall not exceed the amount you actually paid for use of SaleWisely during the preceding twelve (12) months. Whether or not you choose to use, evaluate, or test SaleWisely, the disclaimers and limitation-of-liability clauses in this Agreement apply.
9. Third-Party Services
9.1. Our services may contain links to other websites, applications, content, products, and services operated by companies and individuals unrelated to us (collectively, "Third-Party Websites"). These links are for reference only. Inclusion of any link to a Third-Party Website in the services does not mean we assume any responsibility for that Third-Party Website and its content, or for use of any features, products, and/or services provided through it.
9.2. You should independently determine the authenticity, legality, and validity of Third-Party Websites and their content, features, products, and services. You understand and agree that, as a neutral technical service provider, we cannot control any Third-Party Website or any information/material contained therein, nor are we legally empowered to investigate, monitor, or examine the accuracy, completeness, or legal compliance of any Third-Party Website. We are not responsible for any damage arising from your use of or reliance on any Third-Party Website or any information/material therein. You access and use Third-Party Websites at your own risk. You are responsible for reviewing the terms and conditions and privacy policy of each website you visit.
10. Governing Law and Dispute Resolution
10.1 Exclusive Mainland China Clause
If the user's habitual geographic location when registering, logging in to, or using this product/service is within mainland China (excluding Hong Kong, Macau, and Taiwan, hereinafter "Mainland China"), and the user is using the version dedicated to the Mainland China market ("Mainland Version"), this Agreement and any dispute arising out of or related to this Agreement (including non-contractual disputes) shall be governed by, and construed in accordance with, the laws of the People's Republic of China.
The parties shall first resolve disputes through friendly consultation. If consultation fails, either party may submit the dispute to a competent People's Court in Tianhe District, Guangzhou, for litigation.
10.2 International Terms and Singapore Arbitration
For any situations other than those specified in Section 10.1, including but not limited to:
(a) the user's habitual geographic location when registering, logging in to, or using this product/service is in any country or region outside Mainland China; or
(b) regardless of user location, the user is using the international version provided for markets outside Mainland China ("International Version").
Then this Agreement and any disputes, controversies, or claims arising out of or in connection with this Agreement, its subject matter, or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Singapore. Any dispute arising out of or relating to this Agreement shall first be resolved through friendly consultation between the parties. If consultation fails, the dispute shall be finally and exclusively submitted to the Singapore International Arbitration Centre (SIAC) for arbitration in Singapore in accordance with the SIAC Arbitration Rules in force at that time. The arbitral tribunal shall consist of one arbitrator. The arbitration language shall be English. The arbitral award shall be final and legally binding on both parties.
10.3 The user agrees and confirms that any arbitration or litigation shall not proceed on a class, representative, or group basis (including arbitration brought by private attorneys on behalf of others), even if one or more claims that are subject to arbitration or litigation have previously been asserted (or could have been asserted) in a class, representative, or group proceeding before a court.
11. Agreement Termination and Liability for Breach
11.1 Users shall use this product within the scope of software authorization, respect the product and related content including intellectual property rights and usage rules. Performance of obligations under this Agreement is a prerequisite for using this product. If a user materially breaches this Agreement, we will terminate this Agreement with that user.
11.2 If a user violates usage requirements, terms, agreements, notices, or other relevant provisions of this product and SaleWisely, and service is terminated as a result causing inability to use this product normally, we have the right to terminate this Agreement with the user.
11.3 If, for the purpose of maintaining platform order and protecting consumer rights, a user makes commitments to us in any form, and we confirm that you have violated such commitments, we may take restrictive measures on your rights to use this product according to your commitments or agreement terms, including suspension or termination of this Agreement.
11.4 If a user violates this Agreement or other agreements signed with us, we may restrict rights you obtained thereunder, including suspending or terminating provision of part or all services to you, and may lawfully disclose your breach on SaleWisely official platforms.
11.5 Upon termination of this Agreement, users shall stop using this product and delete all copies of this software.
11.6 If you violate terms of this Agreement and cause losses to us and/or other users, you must bear full compensation liability. If we have assumed such liabilities, you agree to compensate our related costs and losses.
If a user causes losses to us by violating this Agreement or other documents hereunder, or by violating any laws or regulations, the user shall compensate us, including but not limited to direct losses, indirect losses, and costs of rights protection (attorneys' fees, litigation fees, preservation fees, appraisal fees, litigation fees), etc.
If a user infringes third-party rights in violation of the preceding paragraph, resulting in any third-party claims, lawsuits, or administrative liabilities against us, the user undertakes to unconditionally assume corresponding liabilities and indemnify SaleWisely. If SaleWisely suffers losses thereby, the user shall compensate such losses, including but not limited to rights-protection costs for this website (attorneys' fees, litigation fees, preservation fees, appraisal fees, litigation fees), reputational losses, and compensation/indemnity paid by us to third parties.
12. Supplementary Provisions
12.1 SaleWisely has the right, at any time, to change the entity providing software or services to users due to changes in laws/regulations, company operations, business strategy adjustments, or similar reasons, and accordingly has the right to amend this Agreement at any time. After amendments, we will notify you by posting on the official website or by email. If you continue using SaleWisely software and services after the Agreement changes, you accept the revised Terms. In case of disputes, the latest agreement text shall prevail. If you do not agree to the revised Agreement, please immediately stop using the software and services. Continued use will be deemed acceptance of the changes.
12.2 Account and Project Data Processing Rules
(1) You understand and agree that we will process your personal information and project data in accordance with the SaleWisely Privacy Policy.
(2) Specific rules, operation paths, and consequences regarding account deletion, project deletion, retention periods of various project data (including paid and free projects), and handling upon expiration shall be subject to Article 5 and other relevant provisions of the SaleWisely Privacy Policy as updated by us from time to time. You should carefully read and understand such rules before using related features.
12.3 If users change important account information such as contact address and phone number, they must promptly notify SaleWisely. Any losses caused by failure to notify in a timely manner shall be borne by users themselves.
12.4 If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the validity of other provisions shall not be affected.
